Nick is an English solicitor and before coming to Jersey worked in several of Manchester’s premier law firms, dealing with a wide variety of corporate and commercial matters, including mergers and acquisitions, MBOs and MBIs, corporate restructurings and flotations, as well as a variety of media/sports law matters. He also helped found and was a senior executive of a sports marketing company which was subsequently floated on AIM.

Hyde Marshall Associates was established in January 2005 to advise on a broad range of corporate and sports-related legal matters and to provide general non-legal advice and assistance to commercial organisations and personalities.

Particular examples of Nick’s sports and media experience are set out below.

In respect of corporate work (details of which are set out in Services), Nick has acted for vendors and purchasers in a variety of M&A transactions, including MBOs and MBIs, ranging from several hundred thousand pounds to multi-million pound deals. He has acted for companies and sponsors in a variety of listed public company transactions and provided assistance on a wide-range of commercial legal matters, including joint ventures, high value commercial agreements, such as distribution and software agreements, and senior executive employment arrangements.

Since coming to Jersey he has advised a number of trust companies on various matters and has advised on a variety of image rights arrangements for sports personalities and commercial arrangements for sports organisations. He also acts as in-house counsel for a Jersey fiduciary services group which includes a subsidiary specialising in services to those involved in sport and entertainment.

His experience in sports work includes

• Advising Manchester United in respect of sponsorship, licensing and merchandising and media-related activities.

• Advising Manchester United in respect of various overseas tour arrangements.

• Advising MUTV in respect of certain rights acquisitions from the various footballing authorities.

• Advising Sheffield United Football Club in connection with its flotation.

• Advising the FA Premier League on a variety of matters in conjunction with its in-house counsel.

• Advising certain Premier League footballers in connection with various merchandising and commercial arrangements.

• Advising a leading National Hunt jockey in connection with his autobiography and certain sponsorship and publishing deals.

• Acting for WilliamsF1 in connection with the preparation and negotiation of various merchandising and licensing agreements.

• Acting for Leeds United in connection with the preparation and negotiation of various merchandising and licensing agreements.

• Acting for various sports personalities including boxers, boxing promoters, rugby league and union players and footballers, in connection with a variety of image rights structures.

• Acting for certain football agents in connection with various player transfers.

• Acting for various sports agents and their clients in respect of a variety of publishing and media arrangements.

• Acting for a motor sport organisation in connection with such agreements as event organisation and TV rights.
